Terms of Service

Welcome to HeyBuddy. These Terms of Service ("Terms") govern your use of the HeyBuddy platform, website, and services (collectively, the "Service") operated by HeyBuddy ("we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Account Registration

To use HeyBuddy, you must create an account with a valid email address and password. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

You must be at least 18 years old to create an account.

2. Subscription Plans & Billing

HeyBuddy offers Free, Pro, and Pro+ subscription tiers. Paid plans are billed monthly through Stripe. By subscribing to a paid plan, you agree to:

• Pay the applicable fees for your chosen plan
• Automatic recurring billing unless you cancel before the renewal date
• Price changes with 30 days' notice via email

You may upgrade, downgrade, or cancel your plan at any time from your account settings. Downgrades and cancellations take effect at the end of the current billing period. Refunds are not provided for partial billing periods.

3. Accounts with Multiple Users

Depending on your tier, your account may support multiple users. The Account Owner is responsible for managing users on the account. Usage limits (messages, to-dos, reminders) are shared across all users on the account.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Harass, abuse, or harm another person
• Send spam, phishing, or unsolicited messages
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service's infrastructure
• Use automated tools to scrape, crawl, or extract data
• Impersonate another person or entity
• Upload malicious code, viruses, or harmful content

We reserve the right to suspend or terminate accounts that violate these terms.

5. AI-Powered Features

HeyBuddy uses AI technology (powered by PersonaOne) to provide conversational assistance, reminders, research, and other features. You understand that:

• AI responses are generated and may not always be accurate
• The Service is not a substitute for professional advice (medical, legal, financial, etc.)
• We continuously improve the AI but do not guarantee specific outcomes
• Your conversations may be used to improve the Service, subject to our Privacy Policy

6. Intellectual Property

The Service, including its design, code, logos, and content, is owned by HeyBuddy and protected by intellectual property laws. You retain ownership of the content you create through the Service (messages, to-dos, reminders, etc.).

You grant us a limited license to process and store your content solely to provide the Service.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. We take data protection seriously and comply with applicable data protection regulations including GDPR.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, HeyBuddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use the Service
• Any unauthorized access to your account or data
• Any conduct or content of any third party on the Service

10. Account Termination

You may delete your account at any time through the Privacy & Data section of your dashboard. We may also terminate or suspend your account if you violate these Terms. Upon termination:

• Your access to the Service will cease immediately
• Paid subscriptions will not be refunded for the remaining period
• Your data will be retained for 30 days (soft delete), after which it may be permanently removed

11. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
